GENERAL SUMMARY OF PROJECT “GRANDE”A. DESCRIPTION OF THE PROJECTWithin 1998 – 2002 the consultant company TRANSPROJECT S.A. developed the Pre-feasibility Study of the Project “GRANDE” obtaining the Provisional License for the execution of the Definitive Study during 2001. This project involves the construction of 8 hydroelectric centrals in the high basin of Grande River between Arce Bridge and Abapo, with a total installed capacity of 2.930 MW and electric energy production of 15.720 GWh yearly during 50 years shelf life. The entire project is located in a total length of 450 Km in Grande River. Total capacity of stored water is 31 thousand million m3. Production of electric energy has been considered and the primary activity of the entire project, with no analysis of secondary advantageous activities like: irrigation, tourism, flood control, transit through the accessing road, employment, fishing, sporting, etc. The production of the 1.570 GWh/year (10%) has been foreseen to cover the Bolivian market and the 14.150 GWh/year (90%) for being exported to Brazil according to the Presidential Declaration dated April 17th 1998. For this reason the construction of a 400 KV power line has been considered between the stretches Puente Arce – Santa Cruz – Puerto Suarez with 1.060 Km total length. Finally, the Project considers the construction of an accessing road the working facilities of 410 Km between Puente Arce – Abapo stretch. During the construction of the Hydroelectric Centrals the road will be built with double treatment and after the completion of the works the road could be paved with a one hundred million dollars additional investment thus facilitating the final construction of the paved road Sucre – Santa Cruz, currently non-existing (the construction of just 70 Km of the road Puente Arce – Sucre will be pending). B. EXECUTION PROGRAMExecution time of “GRANDE” is 9 years. During the initial three years it has been scheduled the development of studies and construction of the complementary works, during the following 5 years the construction of the hydroelectric centrals plus one year for the water accumulation in the reservoirs. C. OTHER BENEFITS OF THE PROJECT“GRANDE” Project has other secondary benefits of importance for the Bolivian economy and social aspect:

TRANSPROJECT PROVISIONAL LICENSE (Translation into English)SUPERINTENDENCE OF ELECTRICITY Sectorial Regulation System RESOLUTION SSDE N° 109/ 2001 La Paz, 5 of July of 2001-07-18 SEEN and CONSIDERING: That the Consultant Company Transproject S.A., (TRANSPROJECT S.A.), represented legally by its President Mr. Vojislav Hadzi Nikolic, by means of Testimony Power N° 969/ 98 granted by Notary of Public Faith Lidia Gonzales Gonzales from the Judicial District of La Paz, properly inscribed in the Commerce General Registration, under register N° 07-042907-01 of the National Service of the Commerce Registration approved by Administrative Resolution N° 1233/ 98 from 11 of May, 1988, by means of memo from 12 of March, 2001, solicited Provisional License for studies for generation centrals that use hydro resources of the high basin of the River Grande for generation destined to export. That according to established Legal Report N° 42/2001 and report MY N° 068/2001 from 8 of May, 2001, Transproject S.A. have fulfilled with presentation of the legal and technical requirements established in the Law of Electricity and in the Regulation of Concessions, Licenses and Provisional Licenses, for grant of the Provisional License. That in fulfillment to the disposition in the article 27 of the Law of Electricity and to the article 21 of the Regulation of Concessions, Licenses and Provisional Licenses, the application extract of the Provisional License was published in the newspaper of national circulation "Ultima Hora" the days 22,23 24 of May, 2001, with the purpose that the proprietors or other people that they could result affected by the Provisional License, could formulate objections and observations that they judge convenient. That according to established Legal Report N° 060/2001 from 2 of July, 2001, within the term established by the article 22 of the Regulation of Concessions, Licenses and Provisional Licenses, have not been presented observations, objections or other applications for the same object, being proceeded dictate the Provisional License Resolution. That under the article 24 of the Law of Electricity and the article 8 of the Regulation of Concessions, Licenses and Provisional Licenses, the Superintendence of Electricity grants Provisional License in order to carry out studies for the installation of generation centrals that make use of natural resources. The Superintendence of Electricity, in use of its faculties and attributions conferred by the Law of Electricity and their Regulation, RESOLVEFIRST ARTICLE.- Grant in favor of the Consultant Company Transproject S.A. (TRANSPROJECT S.A.), legally represented by Vojislav Hadzi Nikolic, Provisional License for studies for generation centrals that make use of hydro resources of the high basin of the River Grande. SECOND ARTICLE. - The zone object of the study understands the departments of Cochabamba, Santa Cruz and Chuquisaca, undertaking the high basin of the River Grande with an approximate extension of 106.000 km2. The location and description of the resource to be studied is detailed in Annex of this Resolution. THIRD ARTICLE. - The scope and description of the study to execute, the budget and the program there are in the Annex of this Resolution. FORTH ARTICLE. - The term of this Provisional License, for the execution of the studies will be of thirty four (34) calendar months, starting from the date this Resolution have been dictated. FIFTH ARTICLE. - Once completed, TRANSPROJECT S.A. will present to the Superintendence of Electricity an executive summary with enough information for its utilization as reference in the planning of the electric national sector expansion. SIXTH ARTICLE. - TRANSPROJECT S.A. have to present a bank performance and fulfillment of the committed investment bond, for a mount equivalent to five (5%) of this investment, in the term of fifteen (15) days starting from the date this Resolution have been dictated. The term of conquering of that guarantee bond to be presented should be superior to the term of execution of the study for 15 days. Register, correspond and file it.
